1. Acceptance of Terms

By accessing or using Neuriq ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Neuriq is an AI-powered productivity application that helps users capture, organize, and recall information. The Service includes web applications, browser extensions, an iPhone application, and related features.

3. Account Registration

To use Neuriq, you must create an account using an available sign-in method, such as email and password or a supported identity provider. You agree to:

• Provide accurate and complete information
• Maintain the security of your account
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to systems or data
• Use automated means to access the Service without permission
• Harass, abuse, or harm others

5. Fair Use Policy

Neuriq may offer free and paid access. Fair-use and technical limits may apply to keep the Service reliable, secure, and available to all users:

• Use is intended for personal productivity purposes
• Bulk imports of thousands of items at once are not supported
• Excessive automated requests may be rate-limited
• We reserve the right to contact users with extreme usage patterns

6. Subscriptions, Billing, and App Store Purchases

Neuriq offers optional paid features through auto-renewable subscriptions. The applicable price, billing period, included usage, and any introductory offer are shown before you confirm a purchase. Prices may vary by country, currency, tax treatment, and sales channel.

Subscriptions purchased through Apple's App Store are charged to your Apple Account when the purchase is confirmed. They renew automatically unless you cancel at least 24 hours before the end of the current billing period. Apple may charge your account for renewal within 24 hours before that period ends. You can manage or cancel an App Store subscription in your Apple Account subscription settings. Refund requests for App Store purchases are handled by Apple under Apple's applicable policies.

Subscriptions purchased on the web are processed by the payment provider shown at checkout and can be managed through Neuriq's billing settings. Unless the purchase screen or applicable law states otherwise, cancellation stops future renewals and paid access remains available until the end of the current paid period. Your mandatory consumer rights remain unaffected.

The iPhone application is licensed under theApple Standard End User License Agreement (EULA). These Terms additionally govern your use of the Neuriq Service.

7. Your Content

You retain ownership of all content you submit to Neuriq ("Your Content"). By using the Service, you grant us a limited license to:

• Store and process Your Content to provide the Service
• Use AI to analyze and organize Your Content
• Create backups for data protection purposes

Neuriq does not sell Your Content or use your private content to train its own general-purpose AI models. Service providers may process Your Content only as needed to operate the features you request, subject to their applicable terms and our Privacy Policy.

8. Intellectual Property

The Service, including its design, features, and technology, is owned by Neuriq and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

9. Third-Party Services

Neuriq relies on third-party services for functions including cloud hosting, authentication, AI processing, email, Google Calendar, and Google Tasks. Your use of these services is subject to their respective terms and privacy policies.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice.

11. Limitation of Liability

To the maximum extent permitted by law, Neuriq shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Service interruptions or errors

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Neuriq from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

You may terminate your account at any time through the Settings page. We may terminate or suspend your account for violations of these Terms.

Upon termination:

• Your access to the Service will end
• Active account data will be removed promptly after a confirmed deletion request
• Residual backup and security-log copies expire under their retention schedules
• You may export your data before termination

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.
